Terms and Conditions (“Terms”)

1. Acceptance of Terms

1.1 By using our Services, you represent that you have read, understood, and agree to be bound by these Terms, as well as our [Privacy Policy] and any other guidelines or policies referenced herein.
1.2 You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services.

2. Modifications to the Terms

2.1 We reserve the right to update or change these Terms at any time. Any modifications will be effective immediately upon posting to the Site.
2.2 Your continued use of the Services after any such changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.

3. Description of Services

3.1 The Sheet Wizard provides add-ons and tools (e.g., The Bulk Sheet Wizard, The Case Wizard) that automate tasks within Google Sheets.
3.2 We may, at our discretion, add or remove functionalities or features from the Services at any time without notice.

4. User Accounts

4.1 You may need to create an account or provide personal information to use certain parts of our Services. You agree that any information you provide is accurate and up-to-date.
4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. User Conduct

5.1 You agree not to:

  • Use the Services for any unlawful purpose or in violation of any local, state, national, or international law.
  • Interfere with the operation of the Services, including transmitting any viruses or harmful code.
  • Attempt to gain unauthorized access to any part of the Services or related systems.
  • Use automated scripts to collect information from or otherwise interact with the Services without our express permission.

5.2 We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these Terms.

6. Payments and Subscriptions

6.1 Some features or add-ons may require payment of fees (one-time or recurring). All fees are in the currency specified at checkout.
6.2 Refunds: Where a free trial is offered, it is provided so that you can decide whether the Services suit you before you pay anything. We do not provide refunds simply because you have changed your mind after a payment has been taken. You may cancel at any time to stop future payments, and you will retain access for the remainder of any period you have already paid for.
6.3 Your consumer guarantee rights are separate and are not affected by clause 6.2. If the Services are faulty, are not as described, or do not do what we have said they will do, you may be entitled to a repair, replacement or refund. See clause 16.

7. Intellectual Property

7.1 All content, software, and materials available on the Site or within our Services, including but not limited to text, graphics, logos, and code, are our property or the property of our licensors and are protected by intellectual property laws.
7.2 You may not modify, distribute, reproduce, or create derivative works from our materials without our prior written permission.

8. Third-Party Services

8.1 Our Services may contain links or integrations to third-party websites or services (e.g., Google Workspace Marketplace). We do not control and are not responsible for the content, privacy policies, or practices of any third-party website or service.
8.2 Your use of third-party services is subject to their separate terms and conditions.

9. Disclaimer of Warranties

9.1 Subject to clause 16, and to the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis, and we do not give any warranty that is not set out in these Terms or required by law.
9.2 We do not guarantee that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
9.3 We are not responsible for any loss of data or damage to your systems that may result from using our Services.

10. Limitation of Liability

10.1 Nothing in this clause limits our liability under the Australian Consumer Law where that liability cannot lawfully be limited. Subject to that, and to the maximum extent permitted by law, in no event shall The Sheet Wizard (or its officers, directors, employees, or agents) be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Services.
10.2 This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damages.

11. Indemnification

11.1 You agree to defend, indemnify, and hold harmless The Sheet Wizard, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Services or breach of these Terms.

12. Termination

12.1 We may terminate or suspend your access to the Services at any time, with or without notice or liability, for any reason. Upon termination, your right to use the Services will immediately cease.
12.2 All provisions of these Terms which by their nature should survive termination shall survive (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability).

13. Governing Law and Jurisdiction

13.1 These Terms shall be governed by and construed in accordance with the laws of Queensland Australia, without regard to its conflict of law provisions.
13.2 Any disputes arising under or in connection with these Terms shall be brought exclusively in the courts located in Queensland, and you consent to the personal jurisdiction and venue of such courts.

14. Severability

14.1 If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

15. Entire Agreement

15.1 These Terms, together with our Privacy Policy and any additional guidelines or rules posted on the Site, constitute the entire agreement between you and The Sheet Wizard regarding the Services.

16. Australian Consumer Law

16.1 Our Services come with guarantees that cannot be excluded under the Australian Consumer Law.
16.2 Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law, where doing so would be unlawful.
16.3 If any provision of these Terms would otherwise contravene the Australian Consumer Law, that provision applies only to the extent the law permits.
16.4 To the extent we are permitted to limit our liability for a failure to comply with a consumer guarantee, our liability is limited, at our option, to resupplying the Services or paying the cost of having them resupplied.
